  • How does the closure of Crowdestate affect the validity of my investment-related claims?

The closure of Crowdestate does not affect the validity of your existing investment-related claims. All valid claims remain in force and will be automatically taken into account in any court or bankruptcy proceedings—no additional action is required from investors to protect their rights.

If payments are received as a result of such proceedings, Crowdestate will distribute the funds proportionally among the investors involved in the respective project, and the amounts can then be transferred to your bank or payment account.

If claim recovery continues after Crowdestate’s liquidation, Crowdestate Collateral Agent OÜ will take over Crowdestate’s current role. It will collect and distribute any recoveries to the investors of the relevant crowdfunding offers.

What will happen to my investment-related documents after Crowdestate’s closure?

All of your investment-related documents — including loan agreements, claim assignment agreements, investment account statements, and interest income reports — will remain accessible to you via the Crowdestate platform until the platform is permanently shut down. The platform is expected to remain operational at least until the end of the first quarter of 2026.

However, we strongly recommend that you download and securely store all important documents related to your investments as early as possible. This will ensure that you retain access to all necessary information regardless of the platform’s future availability.

Who will manage the recovery of late and defaulted loans after Crowdestate’s closure?

The recovery of all late and defaulted loans will be managed by Crowdestate Collateral Agent OÜ, which holds the collateral (e.g., mortgages) on behalf of investors.

Crowdestate Collateral Agent OÜ will continue its operations independently until all legal proceedings are concluded and any recoverable funds—whether from repayments or liquidation proceeds—have been collected and distributed to the relevant investors.

What will happen to loans that are not recovered before Crowdestate’s liquidation?

The recovery process for late and defaulted loans, as well as the distribution of recovered funds, is independent of Crowdestate’s shutdown.

Crowdestate Collateral Agent OÜ, which holds the collateral (such as mortgages) on behalf of investors, will continue to manage the recovery of these loans. It will operate independently until all legal proceedings are completed and all potential repayments or liquidation proceeds have been collected and distributed to the relevant investors.

While the Crowdestate platform remains operational, distributions will continue as usual via investors’ investment accounts. Once the platform is permanently closed, all future distributions will be made directly to investors’ bank or payment accounts by Crowdestate Collateral Agent OÜ.

Can you guarantee the return of the invested capital on outstanding loans?

No, we are legally prohibited from providing any form of return or capital protection guarantees.

However, we are actively pursuing the recovery of all outstanding loans, including non-performing ones, in accordance with applicable laws and contractual agreements. The actual recovery rate will vary from project to project and depends on several key factors, such as:

    • the borrower’s financial position and willingness to repay,
    • the legal and economic status of the underlying project, and
    • the progress and efficiency of ongoing legal and enforcement proceedings.

Some loans are expected to be resolved and repaid during the wind-down period of the platform. However, more complex cases—particularly those involving court proceedings, insolvency processes, or the enforcement and liquidation of collateral—may require significantly more time and may result in partial recoveries only.

õWe remain committed to managing the recovery process diligently and transparently, and all relevant updates will continue to be published in the Investment Updates section of our platform.

I have a defaulted loan in my investment portfolio. Do I need to take any action, and how will recoveries be handled?

No action is required on your part to initiate the recovery process.

All existing loan agreements and the associated investor claims remain legally valid. The recovery of late and defaulted loans is managed entirely by Crowdestate Collateral Agent OÜ, a dedicated entity that holds the security interests (such as mortgages) on behalf of investors.

Crowdestate Collateral Agent OÜ will carry out all necessary legal and enforcement procedures and will distribute any recovered funds proportionally to the investors involved in each specific crowdfunding offer.

During the platform’s wind-down phase, recovered funds will continue to be distributed to investors via their Crowdestate investment accounts, as usual. Once the platform is permanently closed, Crowdestate Collateral Agent OÜ will transfer all future distributions directly to the investors’ registered bank or payment accounts.

To ensure smooth processing of any incoming payments:

    • We recommend setting up a standing transfer order from your Crowdestate investment account to your personal bank or payment account.
    • Please also make sure that your contact and bank account details in your investor profile are accurate and up to date, to avoid delays or failed transactions.

If investor support is no longer available after the end of April, whom can I contact if my loan recoveries are still pending?

As part of Crowdestate’s structured wind-down process, our full-time investor support service will be discontinued at the end of April. After this date, all investor inquiries will be handled by our internal wind-down team as part of their broader responsibilities. Response times may be longer than usual due to limited resources, but we remain committed to addressing all inquiries as efficiently as possible.

Please note that due to regulatory requirements, we are not permitted to share individual loan-specific details with investors. All relevant updates regarding loan statuses, recoveries, and distributions will continue to be published in the Investment Updates section of the Crowdestate platform.

If you have not received expected repayments or have questions related to the recovery process after April, we encourage you to consult the investment updates first.

For unresolved technical issues, you will still be able to reach our wind-down team through our general e-mail address info@crowdestate.eu.

We also recommend ensuring that your contact and bank account information in your investor profile is accurate and up to date to prevent any delays in communication or payments.

What is your estimation of the successful recovery of the loan portfolio during Crowdestate’s wind-down process?

Throughout the wind-down process, our key priority is to diligently manage the existing loan portfolio with the goal of maximizing recoveries for our investors.

The likelihood of successful recovery varies across projects and is influenced by several factors, including the borrowers’ willingness and ability to repay, the legal and financial condition of the underlying projects, and the efficiency of ongoing recovery and enforcement proceedings. While a number of loans are expected to be resolved and repaid during the wind-down period, more complex cases—particularly those involving litigation or the enforcement and liquidation of collateral—may require extended timelines.

Recovery efforts for all late and defaulted loans will remain under the responsibility of Crowdestate Collateral Agent OÜ, which holds the relevant collateral on behalf of investors. The Collateral Agent will continue its operations independently until all recoverable amounts have been collected and distributed to investors, both during the platform’s wind-down and after its closure, if necessary.
